Terms of Service

1. Scope of Services

MotePhoe.com provides digital commerce solutions, creator tipping and monetization widgets, e-commerce storefront hosting, and point-of-sale (POS) processing tools. The Platform enables Merchants and digital content creators to accept payments, sell products or digital services, and manage fan-support interactions.

2. Fees & Payout Schedule

Note: Weekends and official Myanmar public holidays are excluded from business day calculations for payout settlement processing.

3. Account Activity & Inactivity Suspension

• Active Operation: Merchants and creators are expected to maintain active account operations and respond promptly to end-customer inquiries.
• Inactivity Suspension: Accounts showing no transaction activity for three (3) consecutive months will be automatically marked as dormant and suspended.
• Account Reactivation: Reactivation following an inactivity suspension requires identity and business re-verification with MotePhoe support.

4. Prohibited Activities & Immediate Account Closure

Merchant agrees to strictly comply with all statutory regulations and operational boundaries. MotePhoe operates a strict Zero-Tolerance Policy regarding illegal, hazardous, or high-risk business operations.

• Gambling & Betting Prohibitions: You shall not use MotePhoe.com for any form of online gambling, sports betting, lottery operations, casino games, 2D/3D number betting, or illegal gaming activities.
• Illegal Substances & Controlled Materials: Processing payments for illicit drugs, narcotics, prescription pharmaceuticals without authorization, chemical precursors, or drug paraphernalia is strictly prohibited.
• Other Prohibited Goods: You shall not facilitate transactions for weapons, explosives, illegal adult content, counterfeit goods, unauthorized financial service schemes, or fraudulent activities.
• No Third-Party Sub-Merchant Aggregation: You are strictly prohibited from utilizing your MotePhoe account or API keys to aggregate, process, or route payment transactions on behalf of third-party sub-merchants or secondary entities.
• Termination Penalty: Any account found or reasonably suspected to be engaged in gambling, illicit drug transactions, or prohibited activities will be subject to immediate and permanent account closure without prior notice, total forfeiture of pending balance payouts pending legal review, and reporting to statutory enforcement authorities in accordance with applicable laws of the Republic of the Union of Myanmar.

5. Sticker Copyright, Sponsored Campaigns & Opt-Out Policy

MotePhoe provides digital stickers, graphic overlays, and visual alert assets for use during live broadcasts and digital tipping interactions.

• Intellectual Property Rights: All visual stickers, animated graphics, brand badges, and artwork displayed on MotePhoe.com or embedded via browser overlays are protected by copyright laws. Users, creators, and viewers are strictly prohibited from copying, ripping, downloading, reproducing, redistributing, or commercializing MotePhoe sticker assets without prior written consent from Myantel Co., Ltd.
• Network-Wide Sponsored Stickers: MotePhoe reserves the right to deploy sponsored promotional stickers or branded campaign overlays across integrated streamer feeds and alert widgets platform-wide.
• Streamer Compensation:When a sponsored sticker campaign is displayed across a streamer's feed, the streamer will be compensated in accordance with the specific campaign payout terms, impression metrics, or tip conversion rates established for that sponsored campaign.
• Sticker Opt-Out & Profile Removal: Creators and streamers who do not wish to display specific sponsored stickers or brand campaigns on their stream overlay or profile page may submit a removal request to MotePhoe support. Upon receipt of your request, MotePhoe will promptly remove the designated sticker(s) from your profile overlay configuration.

6. Chargebacks, Disputes & Right of Off-Set

• Merchant Liability: Merchant is 100% financially liable for all reversed transactions, chargebacks, customer refunds, payment disputes, or fraudulent activities originated through their account.
• Right of Off-Set: MotePhoe and Myantel Co., Ltd. reserve the absolute right to deduct, off-set, or withhold funds from future merchant settlements to satisfy unpaid liabilities, chargebacks, penalties, or outstanding platform fees.
• Fund Freezing: We reserve the right to temporarily freeze payouts or place rolling balance reserves on any account demonstrating suspicious processing volume spikes, elevated dispute rates, or potential fraud risks.

7. Disclaimer of Warranties & Service Continuity

• "As-Is" Provision:Services are provided strictly on an "AS IS" and "AS AVAILABLE" basis. MotePhoe, MyanMyanPay, and Myantel Co., Ltd. make no express or implied warranties regarding 100% uptime, error-free operations, or uninterrupted payment processing.
• Third-Party Network Disruptions: We are not liable for delayed payouts, failed transaction API calls, or operational losses resulting from banking network downtime, telecommunication outages, internet service interruptions, or regulatory banking maintenance.

8. Data Logs & Transaction Retention

• Audit Trails: MotePhoe maintains transaction retention schedules for legal compliance, fraud prevention, and accounting reconciliation.
• Merchant Data Export: Merchants may export raw transaction history and sales analytics through the MotePhoe merchant dashboard while their account remains active.

9. Limitation of Liability & Hold Harmless

• Cap on Liability: To the maximum extent permitted by applicable law, the cumulative liability of MotePhoe.com, MyanMyanPay, and Myantel Co., Ltd. for any claim shall not exceed the total transaction fees collected by the Platform from the Merchant in the preceding one (1) month.
• Indemnification:Merchant agrees to fully indemnify, defend, and hold harmless MotePhoe.com, MyanMyanPay, Myantel Co., Ltd., and its officers, directors, and employees against any third-party claims, legal damages, statutory fines, or court costs resulting from the Merchant's product sales, breach of these Terms, or unlawful conduct.

10. Governing Law & Legal Interpretation

• Jurisdiction: These Terms shall be governed by, construed, and enforced in accordance with the statutory laws of the Republic of the Union of Myanmar.
• Prevalence of English Language: These Terms are drafted and executed in the English language. In the event of any conflict or inconsistency between the English text and any translated version, the English version shall strictly prevail.
